Check /var/log/messages for clues from the rtl8139 driver as it loads.
Check that your BIOS is set to boot a Non-PnP OS.
Try shuffling the cards around. Make sure they're both in Bus Master
capable slots.
I've got an rtl8139 card working in the box I'm on here, along side an
eepro100 on the motherboard. It's using a 2.4.0-test11 kernel with the
8139too.o module.
