Budget is low, very low, ideally the software should be free.
I have no problem spending time getting it up and running and don't care
about ease of use. its the functionality that the problem, if I can replace
exchange,
I can replace the nt box, which I'm sick of dealing with (especially ms
proxy server)

Depends on your budget! We've worked with the Caldera Volution Messaging
Server, which is available commercially and mimics a lot of Exchange
functions, has IMAP, LDAP and most of the Exchange Server "features". Needs
to run on Caldera Linux as well, though.
There's probably a lot of other options as well, though. Especially if
you're technically savvy.
