When we did this here we created a new directory of type mbox in KMail and 
another new directory of type maildir in Kmail and you can then copy your 
messages from one format to another easily. However we did this to convert a 
couple of hundred messages in one folder, it might be messy if you have 
thousands in different directories.

Why not use ye olde universal mail access protocol?

Setup wu-imapd to give access to your mbox files, setup a maildir
using imap server (courier?) and use imapsync (which can preserve
times). hey presto.

This works especially well if your intent was to convert to a
maildir imap server anyway.. ;)
