[MLUG] Kernel Panic CPU Context Corrupt

I've been getting this message more & more, have to keep reset/reboot but 
not getting anywhere.

Running RH 9 on i686
Kernel 2.4.20-8 or 2.4.20-24.9 (Shrike)

I can login, but soon after it hangs (e.g., after running startx while 
loading Red Hat GUI) or I get the Kernel Panic message if I try to do 
anything from the command line (e.g., I was looking at a man page and then 
I got the Kernel Panic message).

What I've read online indicates either:
CPU or Memory (i.e., hardware)

Does this mean replacing the Athlon processor?  Motherboard? Something 
else?  How do I find out?
