The first places to look are probably the silly ones . . .
Firstly, are you using a cross-over cable, or just a length of normal ethernet...
Next check the hosts file in c:\windows on both to see if they 'know' about each other
Then work out if networking is actually set-up on both in such a way that they are able to talk to each other...
yeah, I know these are the obvious 'but of course I have' questions, but I've tripped on these myself...
